Terms of Service

Please read these terms carefully. By using Spike Science, you agree to be bound by the following terms and conditions governing your access to and use of our platform.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Spike Science, LLC ("Spike Science," "we," "us," or "our") governing your access to and use of the Spike Science platform, website, mobile applications, and all related software, services, and content (collectively, the "Service").

BY ACCESSING OR USING THE SERVICE, CREATING AN ACCOUNT, OR CLICKING "I AGREE," YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE THE SERVICE.

If you are using the Service on behalf of an organization, team, or club, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.

2. Eligibility

You must be at least thirteen (13) years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

Users between the ages of 13 and 17 ("Minor Users") may only use the Service with the verified consent of a parent or legal guardian, who accepts full responsibility for the Minor User's compliance with these Terms.

If you are entering into these Terms on behalf of a Minor User, you represent that you are the parent or legal guardian of such user and that you accept these Terms on their behalf.

By using the Service, you represent that you are not (a) located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and (b) listed on any U.S. Government list of prohibited or restricted parties.

3. Account Registration and Security

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify Spike Science of any unauthorized use of your account at security@spikescience.app.

Spike Science will not be liable for any losses arising from unauthorized use of your account that results from your failure to safeguard your credentials.

You may not create more than one account per person, create an account on behalf of another person without their explicit consent, or transfer your account to another person without our written approval.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, remain inactive for an extended period, or that we determine, in our sole discretion, pose a risk to the Service or other users.

4. Subscriptions, Fees, and Payment

Subscription Plans

Spike Science offers free and paid subscription tiers. Paid plans ("Premium Subscriptions") provide access to advanced biomechanics analysis, unlimited video storage, AI coaching features, detailed performance reports, recruiting tools, and other premium capabilities. Feature availability is subject to the plan selected at time of purchase.

Billing and Renewal

Premium Subscriptions are billed on a recurring basis (monthly or annually) as selected at purchase. Subscriptions automatically renew at the end of each billing period at the then-current subscription rate unless you cancel before the renewal date. You authorize Spike Science to charge your payment method on a recurring basis without requiring your approval for each renewal charge.

Free Trials

Spike Science may offer free trial periods for Premium Subscriptions. At the end of a free trial, your subscription will automatically convert to a paid subscription and your payment method will be charged unless you cancel before the trial ends.

Cancellation

You may cancel your Premium Subscription at any time through your account settings or by contacting support@spikescience.app. Cancellation takes effect at the end of the current billing period. You will retain access to premium features through the end of the paid period. Cancellation does not entitle you to a refund of any amounts already charged.

Refund Policy

All subscription fees are non-refundable except where required by applicable law or as expressly stated in our Refund Policy. Spike Science does not issue prorated refunds for unused portions of a subscription period.

Price Changes

We reserve the right to modify subscription pricing at any time. We will provide at least thirty (30) days advance written notice of any price increase affecting your active subscription. Your continued use of the Service after the effective date of a price change constitutes your agreement to pay the updated price.

Taxes

Subscription fees are exclusive of all applicable taxes. You are responsible for all taxes associated with your subscription, and we may collect applicable taxes if required by law.

5. User Content

The Service allows you to upload, submit, store, and share videos, images, performance data, and other content ("User Content"). You retain all ownership rights to your User Content.

By uploading or submitting User Content to the Service, you grant Spike Science a non-exclusive, worldwide, royalty-free, sublicensable license to use, copy, process, store, transmit, display, and analyze your User Content solely for the purposes of (a) providing the Service to you, (b) improving and developing the Service, and (c) as otherwise described in our Privacy Policy.

We do not claim ownership of your User Content. The license you grant us is limited to what is necessary to operate, improve, and protect the Service.

Content Standards

You represent and warrant that: (a) you own your User Content or have the rights necessary to grant the license above; (b) your User Content does not infringe, misappropriate, or violate any third-party intellectual property, privacy, publicity, or other rights; and (c) your User Content complies with these Terms and all applicable laws.

Prohibited Content

You may not upload content that: depicts minors in a manner requiring parental consent without obtaining such consent; contains nudity or sexually explicit material; promotes violence, self-harm, or illegal activity; constitutes harassment or hate speech; or infringes any third-party rights.

Content Moderation

Spike Science reserves the right, but is not obligated, to review, monitor, or remove any User Content at any time and for any reason, including violation of these Terms, without prior notice to you.

AI Model Training

Anonymized, aggregated pose landmark and biomechanics data derived from your videos may be used to improve our AI models. We will not use your personally identifiable video content for model training without your explicit opt-in consent.

6. Prohibited Conduct

You agree not to engage in any of the following conduct while using the Service:

Violate any applicable federal, state, local, or international law or regulation.
Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
Attempt to gain unauthorized access to any portion of the Service, other user accounts, or any computer systems or networks connected to the Service.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or AI models of the Service.
Use automated means (bots, scrapers, crawlers) to access, collect data from, or interact with the Service without our express written permission.
Introduce viruses, trojan horses, worms, or other malicious code to the Service.
Use the Service to send spam, phishing communications, or other unsolicited commercial messages.
Rent, lease, sell, resell, sublicense, or otherwise commercially exploit any part of the Service without our written authorization.
Remove, alter, or obscure any proprietary notices or labels on or within the Service.
Use the Service in a manner that could damage, disable, overburden, or impair the Service or interfere with other users' use of the Service.
Use any analysis outputs, performance metrics, or other Service data to make medical diagnoses or clinical decisions.

7. Intellectual Property Rights

The Service, including all software, algorithms, AI models, user interfaces, designs, graphics, compilation of content, and all other elements of the Service (excluding User Content), are owned by Spike Science and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, Spike Science grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial purposes.

The Spike Science name, logo, "Spike Science," "VERA," "PRISM," and all related names, logos, product and service names, designs, and slogans are trademarks of Spike Science. You may not use these marks without our prior written permission.

Any feedback, suggestions, ideas, or other input you provide about the Service ("Feedback") is voluntary. You grant Spike Science a perpetual, irrevocable, royalty-free license to use any Feedback without restriction or compensation to you.

8. Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Spike Science. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

The Service integrates with third-party services including payment processors, cloud storage providers, and analytics platforms. Your use of such services is subject to their respective terms and privacy policies.

We encourage you to review the privacy policies and terms of any third-party services you access through or in connection with the Service.

9. Health, Safety, and Medical Disclaimer

THE SERVICE PROVIDES BIOMECHANICS ANALYSIS AND TRAINING INFORMATION FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. THE SERVICE IS NOT A MEDICAL DEVICE, AND THE ANALYSIS OUTPUTS DO NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, TREATMENT, OR PROFESSIONAL ATHLETIC TRAINING GUIDANCE.

Always consult a qualified physician, licensed physical therapist, certified athletic trainer, or sports medicine professional before beginning any new training program or making decisions based on analysis outputs. Do not disregard professional medical advice or delay seeking it based on information provided by the Service.

Performance metrics and biomechanics data generated by the Service are estimates derived from AI-powered video processing algorithms. These estimates may contain errors and should not be relied upon as clinically accurate measurements. Actual results may vary significantly from those shown.

Participation in athletic training, volleyball, and related physical activities carries inherent risks of injury, including serious or permanent injury or death. By using the Service, you acknowledge these risks and agree that Spike Science is not responsible for any injuries or adverse outcomes arising from your athletic activities.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPIKE SCIENCE EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SPIKE SCIENCE DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS OR DEFECTS IN THE SERVICE WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SPIKE SCIENCE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPIKE SCIENCE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO SPIKE SCIENCE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00).

The limitations of liability in this section apply regardless of the legal theory on which any claim is based, including breach of contract, tort (including negligence), strict liability, or any other basis.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not fully apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Spike Science and its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party right, including intellectual property, privacy, or publicity rights; or (e) any claim that your User Content caused damage to a third party.

Spike Science reserves the right to assume exclusive control of any matter subject to indemnification by you, at your expense. You agree to cooperate fully with Spike Science in the defense of any such matter.

13. Term and Termination

These Terms commence on the date you first access or use the Service and remain in effect until terminated in accordance with this section.

You may terminate your account at any time by accessing your account settings or by contacting us at support@spikescience.app. Termination of your account does not entitle you to a refund of any prepaid fees.

Spike Science may suspend or permanently terminate your access to the Service at any time, with or without cause, with or without notice. Grounds for termination include, but are not limited to: breach of these Terms; engaging in fraudulent, abusive, or illegal activity; extended account inactivity; or situations where continued access would create legal or reputational risk for Spike Science.

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. The following sections survive termination: Sections 5 (User Content, with respect to content already uploaded), 7 (Intellectual Property), 9 (Health Disclaimer), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), 14 (Dispute Resolution), and 16 (General Provisions).

14. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES INDIVIDUAL ARBITRATION OF DISPUTES RATHER THAN JURY TRIALS OR CLASS ACTIONS.

Informal Resolution

Before initiating formal dispute resolution, you agree to first contact Spike Science at legal@spikescience.app and attempt to resolve the dispute informally. Both parties agree to negotiate in good faith for at least thirty (30) days before proceeding to arbitration.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall be conducted in English, and the seat of arbitration shall be in Ohio, United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND SPIKE SCIENCE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or misuse of confidential information.

Time Limitation

Any claim or cause of action arising out of or related to the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, regardless of any statute of limitations to the contrary. Claims filed after this period are permanently barred.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

To the extent any dispute is not subject to arbitration under Section 14, the parties irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Ohio, United States.

16. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and Subscriber Agreement, constitute the entire agreement between you and Spike Science with respect to the Service and supersede all prior agreements, representations, and understandings.

Modifications

We may modify these Terms at any time by posting the revised Terms on our website and updating the "Last updated" date. Material changes will be communicated via email or prominent in-app notice at least 14 days before taking effect. Your continued use of the Service after the effective date of revisions constitutes your acceptance.

Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver

Spike Science's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Spike Science.

Assignment

You may not assign or transfer these Terms or any of your rights hereunder without our prior written consent. Spike Science may freely assign these Terms in connection with a merger, acquisition, or sale of assets without notice to you.

Force Majeure

Spike Science will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
