Subscriber Agreement
This agreement governs your paid subscription to Spike Science, including billing terms, service levels, data ownership, and your rights as a subscriber.
1. Agreement Overview
This Subscriber Agreement ("Agreement") is entered into between you ("Subscriber") and Spike Science, LLC ("Spike Science," "we," "us," or "our") and governs the commercial relationship between the parties with respect to your paid subscription to the Spike Science platform and services.
This Agreement supplements and is incorporated into the Spike Science Terms of Service and Privacy Policy. In the event of a conflict between this Agreement and the Terms of Service, this Agreement controls with respect to subscription-specific matters.
BY ACTIVATING A PAID SUBSCRIPTION, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT, THE TERMS OF SERVICE, AND THE PRIVACY POLICY.
If you are subscribing on behalf of a team, club, school, or organization, you represent and warrant that you have the legal authority to bind that entity to this Agreement.
2. Subscription Plans and Features
Spike Science offers the following subscription tiers. Features and pricing are subject to change with notice as described in Section 6.
The Free Tier provides limited access to the Service at no charge, including basic video upload and analysis, a limited number of stored sessions, and access to general training content. Free Tier users are subject to usage caps and do not receive premium support.
Designed for individual athletes. Includes unlimited video uploads and stored analysis sessions, full biomechanics reporting, AI coaching assistant (VERA), position-specific training programs, exercise prescription, recruiting profile, and performance trend tracking. Billed monthly or annually per the selected billing cycle.
Designed for coaches, club directors, and training staff. Includes all Athlete Premium features for each assigned athlete seat, team-level analytics dashboard, multi-player session analysis, tactical formation tools, and team management controls. Billed per seat or as a flat team license.
Custom licensing for clubs, schools, and organizations requiring multiple team licenses, SSO/identity management integration, dedicated support, custom reporting, and data export capabilities. Terms are negotiated individually and governed by a separate order form.
3. Free Trials
Spike Science may, at its discretion, offer a free trial period for paid subscription tiers ("Free Trial"). Free Trial availability, duration, and applicable features are determined by Spike Science and may vary.
At the end of the Free Trial period, your subscription will automatically convert to the applicable paid plan and your payment method on file will be charged the then-current subscription rate unless you cancel before the Free Trial ends.
You may only participate in one Free Trial per account. Spike Science reserves the right to verify eligibility and to decline Free Trial access to accounts that have previously held a paid subscription or that appear to be circumventing this limitation.
Free Trial access may be revoked at any time if we determine, in our sole discretion, that your use violates these terms or is abusive.
4. Billing, Payment, and Invoicing
By providing a payment method, you authorize Spike Science (via our payment processor, Stripe) to charge the applicable subscription fee on a recurring basis at the start of each billing period. This authorization remains in effect until you cancel your subscription or update your payment method.
Monthly subscriptions are billed every 30 days from the subscription activation date. Annual subscriptions are billed once per year from the activation date. You will receive a receipt via email following each successful charge.
If a payment fails, we will attempt to retry the charge up to three times over a seven-day period. If payment cannot be collected, your subscription will be downgraded to the Free Tier and premium features will be suspended until payment is resolved. We will notify you by email of any payment failure.
Quoted prices exclude applicable sales tax, VAT, GST, or similar taxes. Applicable taxes are calculated based on your billing address and added to your invoice. You are responsible for all taxes associated with your subscription.
We may change subscription prices at any time. For existing subscribers, price changes take effect at the start of the next billing period following at least thirty (30) days advance written notice via email to the address on your account. Your continued subscription after the effective date constitutes acceptance of the new price.
Annual subscriptions will auto-renew at the then-current annual rate. We will send a renewal reminder no less than 14 days before your annual renewal date. You may cancel before the renewal date to avoid being charged for the next annual period.
5. Cancellation and Downgrade
You may cancel your paid subscription at any time through your account settings under "Billing & Subscription" or by contacting support@spikescience.app.
Cancellations take effect at the end of the current billing period. Upon cancellation, you will retain access to all premium features through the last day of the paid period. After that date, your account will be downgraded to the Free Tier.
Cancellation does not entitle you to a refund of any amounts already charged for the current or any prior billing period.
Downgrading from a higher-tier plan to a lower-tier plan takes effect at the start of the next billing period. You will not receive a prorated refund for the difference in plan price.
To request reinstatement of a cancelled subscription, simply re-subscribe through your account settings. Prior analysis sessions and data will be retained per the data retention policy in our Privacy Policy.
6. Refund Policy
ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE EXCEPT AS EXPRESSLY STATED IN THIS SECTION OR AS REQUIRED BY APPLICABLE LAW.
We do not issue prorated refunds for unused portions of a subscription period, regardless of whether you downgrade, cancel, or stop using the Service mid-period.
We may, at our sole discretion, issue a full or partial refund in cases of: (a) a verified technical failure on our part that prevented access to the Service for a substantial portion of a billing period; or (b) accidental duplicate charges. Refund requests must be submitted to support@spikescience.app within 14 days of the charge in question.
Nothing in this refund policy limits any statutory refund rights you may have under applicable consumer protection laws in your jurisdiction.
If you initiate a chargeback or payment dispute with your bank or card issuer without first contacting us, we reserve the right to suspend or terminate your account pending resolution of the dispute.
7. Service Availability and Support
Spike Science targets 99% monthly uptime for the core Service, excluding scheduled maintenance windows and events outside our reasonable control. We do not guarantee any specific uptime service level agreement (SLA) for Free Tier or standard Athlete Premium subscribers.
We may conduct scheduled maintenance that temporarily affects Service availability. We will endeavor to provide at least 24 hours advance notice via our status page or email for maintenance expected to exceed 30 minutes.
Standard support (email response within 3 business days) is included with all paid subscriptions. Premium support with faster response times may be available on Coach/Team and Enterprise plans. Support is provided in English via support@spikescience.app.
Spike Science reserves the right to modify, update, or discontinue features or aspects of the Service at any time. We will endeavor to provide reasonable notice of material changes to features included in your subscription.
8. Acceptable Use of Subscription
Your subscription is a personal, non-transferable license to access and use the Service for your own use (or, for Team/Enterprise plans, for authorized seats within your organization). The following are prohibited:
- Sharing login credentials with individuals who are not authorized seats under your subscription plan.
- Using a single-seat subscription to analyze content for multiple unaffiliated athletes or organizations.
- Reselling, sublicensing, or providing access to the Service as a commercial service offering to third parties.
- Using the Service to build a competing product, benchmark our AI models for competitive intelligence purposes, or systematically extract data from the Service.
- Circumventing usage caps or feature restrictions applicable to your subscription tier.
- Using automated scripts or bots to bulk upload content or extract data from the Service.
9. Data Ownership and Portability
You retain full ownership of all videos, performance data, analysis results, and other content you upload or generate through your use of the Service ("Subscriber Data"). Spike Science does not claim ownership of your Subscriber Data.
You may export your Subscriber Data at any time from your account settings. Available export formats include JSON and CSV for performance metrics and analysis data.
Upon account deletion or subscription cancellation, you have 90 days to export your Subscriber Data before it is permanently deleted from our systems, subject to any legal retention obligations.
Spike Science will not use your Subscriber Data for purposes beyond those described in the Privacy Policy. Anonymized, non-personally-identifiable aggregate data derived from your use of the Service may be used to improve our models and products.
10. Confidentiality
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure.
Spike Science treats all Subscriber Data as confidential. We implement technical and organizational measures to protect Subscriber Data as described in our Privacy Policy and will not disclose Subscriber Data to third parties except as permitted by this Agreement and the Privacy Policy.
You agree to keep confidential any proprietary information about the Service, including non-public features, pricing terms, and technical documentation, that we share with you in connection with your subscription.
Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is independently developed by the receiving party; or (c) is required to be disclosed by law or court order.
11. Intellectual Property
Spike Science retains all intellectual property rights in the Service, including our AI models, algorithms, biomechanics engine, software, user interface, and all related technology. No license to our intellectual property is granted except the limited right to use the Service as described in this Agreement and the Terms of Service.
You retain all intellectual property rights in your Subscriber Data. The license you grant Spike Science to use your Subscriber Data is limited to providing and improving the Service as described in the Privacy Policy.
Any enhancements, customizations, or modifications to the Service developed by Spike Science, whether or not based on your feedback or requests, are and remain the sole property of Spike Science.
12. Suspension and Termination by Spike Science
Spike Science may suspend or terminate your subscription immediately and without notice if:
- You fail to pay subscription fees when due and do not cure the failure within seven (7) days of notice.
- You materially breach this Agreement or the Terms of Service and fail to cure the breach within ten (10) days of written notice.
- Your use of the Service creates legal liability or poses a security risk to Spike Science or other users.
- You engage in fraudulent, abusive, or illegal activity.
- Spike Science is required to do so by law or court order.
- Spike Science determines that continued service would violate applicable export control or sanctions laws.
In the event of termination for cause by Spike Science, you will not be entitled to a refund of any prepaid fees. In the event of termination for convenience by Spike Science (not due to your breach), we will provide a prorated refund of prepaid fees for the unused portion of the then-current billing period.
13. Representations and Warranties
Each party represents and warrants that: (a) it has the authority to enter into this Agreement; (b) it will comply with all applicable laws in connection with its performance under this Agreement; and (c) the execution and performance of this Agreement does not conflict with any other agreement to which it is a party.
You additionally represent and warrant that: (a) you have all necessary rights to upload your Subscriber Data to the Service; (b) your Subscriber Data does not infringe any third-party intellectual property, privacy, or publicity rights; and (c) your use of the Service will comply with the Acceptable Use provisions of this Agreement and the Terms of Service.
EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. PLEASE REFER TO SECTION 10 OF THE TERMS OF SERVICE FOR THE FULL DISCLAIMER OF WARRANTIES.
14. Limitation of Liability
THE LIMITATIONS OF LIABILITY SET FORTH IN SECTION 11 OF THE TERMS OF SERVICE APPLY IN FULL TO THIS AGREEMENT. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPIKE SCIENCE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT WILL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15. Changes to This Agreement
Spike Science may update this Agreement at any time. For material changes, we will provide at least thirty (30) days advance written notice via email before the updated Agreement takes effect for existing subscribers.
If you do not agree to the updated Agreement, you may cancel your subscription before the effective date of the changes. Your continued subscription after the effective date constitutes your acceptance of the updated Agreement.
Non-material clarifications or corrections may be made without advance notice. The current version of this Agreement is always available at spikescience.app/subscriber-agreement.
16. General Provisions
This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the parties regarding your subscription and supersedes all prior agreements and understandings related to the subject matter hereof.
In the event of a conflict: (1) an executed Enterprise Order Form controls over this Agreement; (2) this Agreement controls over the Terms of Service on subscription-specific matters; (3) the Terms of Service controls on all other matters.
This Agreement is governed by the laws of the State of Ohio, United States. Disputes shall be resolved in accordance with the dispute resolution provisions of the Terms of Service, including binding individual arbitration.
Notices under this Agreement shall be provided by email: to you at the email address on your account, and to Spike Science at legal@spikescience.app. Notices are effective upon confirmation of delivery.
If any provision of this Agreement is found unenforceable, such provision will be modified to the minimum extent necessary to make it enforceable, and the remainder of this Agreement continues in full force.
Failure by either party to enforce any provision of this Agreement shall not constitute a waiver of that party's right to enforce such provision in the future.
